PARTNERSHIP

 

MEMORANDUM OF UNDERSTANDING (MOU)

 

 

I.            PURPOSE OF MOU

A.                Each of the parties listed below:

 

Emery Unified School District (EUSD)

Emery Education Foundation (EEF)

Bay Area Coalition for Equitable Schools (BayCES)

City of Emeryville (City)

support Emeryville’s comprehensive restructuring of the existing K-12 school district. The parties believe that implementation of the Emeryville Math, Science, Technology Initiative (Initiative) will provide real choices for students in order to cultivate each child’s gifts, talents and passions.

 

B.                         The parties recognize that partnerships and alliances are needed to create the necessary systemic changes and improvements to the educational programs of EUSD. To enhance this effort, the parties (Partners) have formed a voluntary relationship (Partnership) that is described in this MOU.

 

C.                        This MOU describes the consensual understanding and expectations of the parties, not a change in the governance of any party’s agency.  This agreement also outlines the responsibilities of the Emeryville Math, Science, Technology Initiative Partnership Project Manager (Project Manager).

 

II.            PARTNERSHIP GOALS

 

This Partnership has the following three goals:

 

A.                        To redesign the educational programs of EUSD from Kindergarten through Grade 12 so that students are proficient, or better, in core academic subjects and have many choices in postsecondary education and other endeavors.

 

B.                         To build strong partnerships across EUSD, the City, and the community, so that powerful learning is a citywide experience and responsibility.

 

C.                        To create an exemplary program for educator training and professional development in math, science, and technology.

 

 

 

 

III.             PARTNER RESPONSIBILITIES

 

Each Partner will support the Initiative as described below:

 

A.                        EUSD will align resources to support the comprehensive restructuring of the existing educational programs and to conduct ongoing assessment and evaluation to achieve Partnership goals.  In addition, EUSD will work to provide organizational structures and personnel practices that will enhance this Initiative. To support project management, EUSD will provide appropriate physical work space to the Project Manager.

 

B.                         BayCES will develop and support leadership to achieve Partnership goals while providing project management services through the Project Manager, who will be responsible for coordination and facilitation of Partnership work.  BayCES will work to ensure that the new educational program offers a high quality teaching and learning program that results in high student achievement, equitably attained, not predicted by a student’s race, ethnicity, language, gender or socioeconomic class.  BayCES will facilitate local, regional, and national networking and learning opportunities.  To support this Initiative, BayCES will assist EUSD, EEF, and the City with strategic planning and fundraising.  To support project management, BayCES will provide office equipment and supplies to the Project Manager.  BayCES shall defend, indemnify and hold harmless the City, EEF, and EUSD from all claims, damages and liabilities of every nature and description alleged, asserted and pursued by the Project Manager arising out of the services provided pursuant to this MOU.

 

C.                        The City, where appropriate, will align resources to support the outcomes of the Initiative.  The City will also recruit and explore incentives for business participation in the Initiative.  In addition, the City will participate on project advisory committees and maintain strong community connections.  To support project management, the City will provide appropriate physical meeting space to the Project Manager.

 

D.                        EEF will receive funds from various sources for the Initiative and expend those same funds only as directed by the partnership, consistent with restrictions from the grantors.  EEF will work with the partners, community, staff, and others to raise funds to pay EUSD’s share of the Initiative Partnership MOU.

 

E.                         The City, EEF, and EUSD shall pay BayCES the amounts set forth in the Payment Schedule and Timeline attached hereto as Attachment A.

 

 

 

 

 

 

IV.            PROJECT MANAGER

 

The Project Manager shall be designated by BayCES with the consent of all of the Partners.  For the term of this MOU, the Project Manager shall be dedicated to this project and shall not be responsible for unrelated BayCES work. 

 

The Project Manager shall be responsible for management, facilitation, and coordination of all Partnership work.  This responsibility includes the following elements, each of which requires specific products and services:

 

A.                        To coordinate and participate in vision development and alliance building to support the Initiative.

 

B.                         To develop and monitor the budget for the Initiative.

 

C.                        To manage and coordinate fundraising for the Initiative across Partners.

 

D.                        To coordinate professional development and curriculum alignment that supports the Partnership goals.

 

E.                         To provide relevant research and facilitate local, regional, and national connections in support of the Initiative.

 

F.                         To coordinate and participate in the assessment of classroom and school practice, and community resources.

 

G.                        To meet regularly with key leaders to support their successful implementation of the Initiative.

 

H.                        To monitor implementation of the Initiative and assist leaders to make adjustments when necessary.

 

I.                           To oversee, coordinate and monitor Initiative work being provided by various service providers. 

 

J.                           To collaborate with the City, EEF, and EUSD on community engagement and participation.

 

K.                        To participate in and support the development of a local, state, and federal legislative agenda that facilitates the goals of promoting more attention to parent, community and teacher voices, while creating and supporting high quality, equitable small autonomous schools.

 

 

 

 

V.             EXTERNAL & INTERNAL COMMUNICATIONS

To promote effective external and internal communications, the Partners agree to the following:

 

A.                        To develop and deliver a consistent, collaborative message describing this Partnership and the Initiative.

 

B.                         To update each other on our independent organizational decisions, activities, changes or events that may affect the Initiative in any way.

 

VI.            EVALUATION

The Partners will evaluate both the outcomes and the efficiency of this effort.  The evaluation will include the following elements:

 

A.                        EUSD will develop a set of indicators to evaluate the progress of the Initiative in improving overall student achievement, with close attention to those students who have been historically low performing, and access to quality learning and teaching.

 

B.                         All Partners will examine school performance data together, and assess the Initiative’s progress together, at least twice each year.  The data is to be disaggregated by race, gender, socioeconomic status, and primary language.

 

C.                        All Partners will share with each other the non-confidential research products and evaluations that come from the Initiative work.  Confidentiality of students and educators will be maintained.

 

D.                        All Partners will examine data regularly on the results of the Partnership’s work to develop and adjust roles and responsibilities as appropriate.

 

VII.            OWNERSHIP OF WORK PRODUCTS

 

The Partners agree to develop a process for reaching agreements about the creation and use of all products associated with this initiative.  In the event that the research obtained from this Partnership will be published in a professional journal or other publication, BayCES staff and members of the Partnership will be cited as co-authors, as appropriate. 

 

VIII.    TERM OF MOU

 

A.                        DURATION

The term of this MOU shall commence on January 1, 2002 and end on June 30, 2005.

 

B.                         REVIEW

The MOU will be reviewed by all of the Partners quarterly (June, September, December and March), with a formal review each year in March. The MOU will then be affirmed or amended as appropriate.

C.                        AMENDMENT

This MOU may be amended, including amendments to add new Partners, at any time by consensus of the current Partners.  The signatures of the Executive Director of BayCES, the City Manager of Emeryville, The President of EEF, and the State Administrator or Superintendent of EUSD will indicate consensus.  If new Partners are added, their signatures would be required to indicate a consensus on any subsequent amendments.

 

D.                        EXIT

Notice:  If any Partner decides to exit the Partnership, that Partner agrees to give the remaining Partners three months notice of their intention.

 

Dissolution:  If at any time the number of remaining Partners declines to a sole Partner, then the Partnership is dissolved and the MOU ceases to be in effect.
